Terms and conditions
These terms apply to every quote, agreement and piece of work by Transcend Code. They are written for business clients.
Who we are
This website is run by Transcend Code, The Netherlands. Registered with KvK number 98088424 and VAT number NL005308807B03. For questions, email support@transcendcode.com.
Quotes and agreements
A quote describes the work, the price and the planning, and is valid for 30 days. The agreement starts when you accept the quote in writing, by email is fine. Work you ask for that isn't in the quote is extra and is charged at our hourly rate, after we've agreed it with you.
How we work
We do the work with care and to the best of our ability. Dates in a quote are good-faith estimates, not fixed deadlines, unless we agree otherwise in writing. You give us the information, access and feedback we need in good time; delays on your side can move the planning.
Prices and payment
Prices are in euros and exclude VAT. Fixed-price projects are invoiced in parts as agreed in the quote; other work is invoiced monthly by the hour. Invoices are due within 14 days. If an invoice isn't paid on time, we may pause the work until it is, and statutory commercial interest applies.
Ownership of the work
Once everything has been paid, you own the code and designs made specifically for you. We keep the right to reuse our own general tools, building blocks and know-how, and open-source software stays under its own licence. Hosting and third-party services (such as cloud providers or app stores) fall under their own terms.
Confidentiality
We keep your information and anything you share with us confidential, and only use it for your project. We may mention that we worked for you, unless you ask us not to.
Ending an agreement
Either of us can end an agreement in writing. You then pay for the work done up to that moment and any costs we've already committed to on your behalf. We hand over what has been made and paid for.
Liability
Our liability is limited to the amount invoiced for the work concerned, and at most the amount invoiced in the six months before the damage occurred. We aren't liable for indirect damage, such as lost profit or lost data; please keep your own backups. These limits don't apply to damage caused intentionally or through gross negligence.
Using this website
The information on this website is general and may change without notice. We do our best to keep it accurate, but can't guarantee it is complete or up to date. The texts, images and design on this website belong to Transcend Code unless stated otherwise; please don't reuse them without permission.
Applicable law
These terms are governed by Dutch law. Disputes go to the competent court in the district where Transcend Code is based.
Changes
We may update these terms. The version that applied when you accepted a quote stays in force for that agreement.
